General Terms and Conditions of Sale for PANELPACT B.V.

PANELPACT B.V. is a legally established company that abides by Dutch law. Our headquarters are located in Medemblik, the Netherlands, with an office address of 1671NG ​Medemblik, Dissel 9. Note that the terms and conditions of sale have been registered with the Netherlands Chamber of Commerce under registration number 80703615.

section 1 - Definitions and Interpretation:


  1. In these General Terms and Conditions ("GTC's") and associated documents, the following capitalized terms, listed in alphabetical order, shall have ​the meanings given below. These terms may be used in the singular or the plural form, and vice versa, as the context requires:
  2. "Affiliated Party" refers to any legal entity that directly or indirectly controls, is controlled by or under common control with a Party. "Control" refers to ​ownership direct or indirect of over 50% of such legal entity's voting rights or capital. Any such legal entity will be deemed to be an Affiliated Party of ​a Party only as long as such control exists.
  3. "Confidential Information" refers to all information, documents, and/or data in any form (including oral, written, and/or digital) which the receiving ​Party reasonably understands or should understand to present a commercial value to the providing Party. Confidential Information shall include, but is ​not limited to: information formulations, designs, business plans, technical/financial/marketing/customer/business information, and all data derived ​directly or indirectly from such Confidential Information.
  4. "Customer" refers to the person, firm, or legal entity to which PanelPact has issued the Offer for the sale and delivery of Products as stated in the ​confirmed Order.
  5. "Defects" refers to defects in materials and workmanship that have an effect on the functionality of the Products under normal application, ​installation, use, and service conditions. It excludes any color change of the Products or any other changes in appearance of the Products, insofar as ​such change does not stem from defects in material and/or workmanship and does not cause degradation of functionality of the Products.
  6. "PanelPact" refers to 'PanelPact B.V., a company organized and existing under the laws of the Netherlands, with its registered seat in Medemblik, the ​Netherlands, and its office address located at Dissel 9, 1671NG, Medemblik, the Netherlands, and any of its Affiliated Parties.
  7. "Information" refers to the information as described in Article 14 (Intellectual Property).
  8. "Intellectual Property Rights" refers to all patents, trademarks, tradenames, trade secrets and knowhow, rights in Confidential Information, copyrights, ​neighboring rights, database rights, design rights, portrait rights, trade secret rights, rights in domain names, and any other intellectual property rights, ​whether registered or unregistered, including all applications for and renewals or extensions of such rights, related dependent or ancillary rights and ​priority or goodwill rights, and all similar or equivalent rights or forms of protection in any part of the world.
  9. "Offer" refers to the quotation for the sale of Products issued in Writing by 'PanelPact to the Customer.
  10. "Order" refers to a Written order issued by a Customer and accepted by 'PanelPact, pursuant to which the Customer shall purchase and 'PanelPact ​shall deliver the Products, which includes these GTC's as an integral part, including all appendices, subsequent amendments hereof, and/or addenda ​hereto as may be agreed upon in Writing between the Parties.
  11. "Price" refers to the total amount specified in the Order which is payable by the Customer to PanelPact for the sale and delivery of Products.
  12. "Party" or "Parties" refers to Customer or PanelPact individually or Customer and 'PanelPact' collectively.
  13. "Products" refers to photovoltaic modules and related goods, (raw) materials, components, devices, equipment, complete systems, and/or other ​independent or accessory parts of goods of any nature whatsoever delivered by 'PanelPact' to Customer pursuant to the Order.
  14. "Written" or "in Writing" refers to communication by post, by e-mail or other electronic communications equipment commonly used in the market.

section 2 - Applicability:


  1. The present General Terms and Conditions (GTC's) shall apply to all Orders, framework agreements, and related legal acts of the Parties, and shall ​constitute an integral part thereof.
  2. The applicability of the Customer's general purchase or other conditions is explicitly rejected. Deviating conditions shall only be valid if, and to the ​extent that, they have been accepted in writing by PanelPact.
  3. Any modifications and/or supplements to these GTC's shall require the written agreement of the duly authorized representatives of both Parties.
  4. If one or more provisions of these GTC's shall be found, by a court with jurisdiction, to be illegal, invalid, or unenforceable, such provision(s) shall not ​affect the legality, validity, or enforceability of any remaining provisions of these GTC's. The Parties shall endeavor to substitute any illegal, invalid, or ​unenforceable provision.

SECTION 3 - Offers and Acceptance of Orders:


  1. Each offer presented by PanelPact is valid during the specified period. Offers lacking a validity period are non-binding.
  2. PanelPact will only be bound by orders if a) they are confirmed in writing by an authorized representative or b) the execution of the order ​commences.
  3. When the customer provides data, drawings, or calculations, PanelPact assumes their accuracy and completeness. The Offer provided is based on ​the information given. If the information provided is inaccurate, incomplete, or changes subsequently, PanelPact has the right to modify the prices, ​rates, and/or delivery terms stated and will not be held responsible for any resulting consequences.
  4. A composite order does not require PanelPact to perform a portion of the order corresponding to a part of the price.

SECTION 4 - PRICING:


  1. Unless explicitly stated, the price is always:

(a) in Euros;

(b) based on delivery 'EX WORKS' (as defined by the Incoterms 2010 or any subsequent version), at a location determined by PanelPact as indicated in the ​Order; and

(c) exclusive of value-added tax (VAT), import duties, levies imposed by the government, and other taxes.

2. PanelPact reserves the right to invoice partial deliveries individually.

General Terms and Conditions of Sale for PANELPACT B.V.

Note that the terms and conditions of sale have been registered with the Netherlands Chamber of Commerce under registration number 80703615.

Section 10 - Inspection & Complaints:


  1. The Customer is responsible for inspecting the delivered Products for visible defects, shortcomings, and quantity at the time of delivery.
  2. In the event of any claim concerning the quantity, visible shortcomings and/or defects of delivered Products, it is mandatory to record the same at the ​time of delivery on the consignment note or delivery invoice. Failure to do so will result in the quality and quantities indicated on the consignment note ​or delivery invoice being considered as compelling evidence against the Customer.
  3. Any other defects or shortcomings that are not visible must be reported in writing within 7 calendar days from the date of discovery. The written ​complaint should contain a precise description of the defect or shortcoming and detailed information regarding the delivery of Products, including ​delivery date and time, delivery note number, box, and/or serial number. Claims that do not follow this procedure will not be considered.
  4. If the Customer files a complaint within the applicable terms mentioned above, they are still obligated to take delivery of the Products and make the ​payment. Products can be returned only in accordance with the return procedure stated in the Order.
  5. Failure to notify PanelPact of any defects or shortcomings in the Products in accordance with Article 10 will result in the Products being deemed ​accepted by the Customer, and all remedies in relation to detected or detectable shortcomings or defects in the Products will be void. The two-year ​limitation period for claims for hidden defects is calculated from the date of delivery of the Products.
  6. The content of this article 10 does not affect any product and performance warranties provided by PanelPact.

section 11 - Risk and Retention of Title:


  1. The Customer assumes responsibility for any loss or damage to the products from the moment of delivery, as outlined in Section 9.2 (Delivery and ​Delivery Time).
  2. PanelPact retains ownership of the delivered products until the Customer has fulfilled all obligations under the Order.
  3. The Customer must store and characterize the Products under retention of title in a manner that distinguishes them from other similar products ​belonging to third parties. The Customer must keep an inventory of the Products delivered under retention of title and store them separately.
  4. The Customer is responsible for insuring the Products under retention of title at their expense, covering all types of damages, such as fire, explosion, ​water damage, and theft, with a reputable insurance company. The insurance coverage must be adequate to cover the value of new Products. On ​request, the Customer must provide PanelPact with the insurance policy and evidence of payment of the insurance premium.
  5. The Customer is not authorized to pledge or encumber the Products under retention of title until full payment of the Price has been made.
  6. In the event that PanelPact wishes to exercise its ownership rights under this Article 11, the Customer shall grant unconditional and irrevocable ​permission for PanelPact or its appointed third parties to access all of the Customer's sites and locations where the Products are located to repossess ​them.

Section 12 - Liability:


  1. The exclusions and limitations outlined in these GTC`s do not apply in instances of personal injury or death, or in cases of intentional acts or willful ​recklessness on the part of PanelPact.
  2. PanelPact explicitly disclaims any liability for indirect damages, including but not limited to consequential loss, lost profits, missed savings, and ​damages resulting from business interruption.
  3. PanelPact's aggregate liability in contract, tort (including negligence or breach of statutory duty), misrepresentation, restitution, or otherwise, arising ​in connection with the performance or anticipated performance of the Order by the Customer, shall at all times be capped at the maximum of the ​actual invoiced amount (excluding taxes and duties) for the delivered Products that have resulted in PanelPact's liability.
  4. Any claims for damages or allegations thereof must be directed to PanelPact in writing within 90 (ninety) calendar days from the occurrence of the ​event that gave rise to the alleged damages. If no lawsuit is filed within 12 (twelve) months from the date of the claim, the legal claim or allegation ​thereof shall lapse.
  5. PanelPact shall not be held responsible for product liability in cases where the Products are physically incorporated into an end product by the ​Customer for its consumers, in accordance with the laws or statutes of product liability by a supplier.

selection 13 - Compensation:


  1. The Customer is responsible for indemnifying and protecting PanelPact from all claims, direct or indirect costs, and expenses arising from the delivery ​of Products under the Order. This excludes claims related to personal injury or death resulting from Product defects (product liability).
  2. PanelPact provides assurance that it is unaware at the time of the Offer, that the sale, purchase, or use of the Products will infringe any third-party ​Intellectual Property Rights or any other third-party rights.

Selection 14 - Ownership of Intellectual Property:


  1. By accepting these terms and conditions, the customer agrees that all Intellectual Property Rights, which include simulation models, schedules, ​specifications, test models, sketches, source code, images, software, films and other (electronic) files generated or made available as part of the ​Product, belong solely to PanelPact and its Affiliated Parties.
  2. The customer is granted a limited, non-exclusive, and non-transferable license to use and resell the purchased Products from PanelPact. The license ​is subject to any Intellectual Property Rights used in the Products by PanelPact or its Affiliated Parties.
  3. These terms and conditions do not provide the customer or any third party with any right, license or immunity under any Intellectual Property Rights of ​PanelPact or any third party, except as explicitly granted under these terms and conditions.
  4. The customer must obtain written consent from PanelPact before making any modifications, translations, disassembling or reverse engineering of the ​Products.

General Terms and Conditions of Sale for PANELPACT B.V.

PANELPACT B.V. is a legally established company that abides by Dutch law. Our headquarters are located in Medemblik, the Netherlands, with an office address of 1671NG ​Medemblik, Dissel 9. Note that the terms and conditions of sale have been registered with the Netherlands Chamber of Commerce under registration number 80703615.

Section 5 – Terms of Payment:


  1. Unless a written agreement states otherwise, the Customer must provide proof of payment for 100% of the Price after PanelPact accepts the Order ​but before delivering the Products. PanelPact is not obligated to deliver any Products until the Customer provides proof of payment.
  2. Within 14 days of the invoice date, the Customer must pay all invoices.
  3. The Customer is responsible for paying all of PanelPact`s invoices in full, without any discount, deduction, or set-off. Contestation of an invoice by the ​Customer shall not suspend the fulfillment of its payment obligations.
  4. If the Customer fails to fulfill its payment obligations on time, the Customer will be in default by operation of law and will owe an interest equal to 5% ​(five per cent) per month of the Price. If the statutory interest is higher, the Customer will owe the statutory interest. The interest on the amount due ​and payable shall be calculated from the date the Customer is in default until PanelPact receives the full outstanding amount.
  5. The Customer is responsible for all judicial and extrajudicial costs related to the enforcement of payment of the amounts due by Customer.
  6. PanelPact`s payment claims against the Customer will become immediately due and payable if the Customer's company is liquidated, merged, ​bankrupted, dissolved/wound up, placed under guardianship, or granted suspension of payment.
  7. PanelPact may allocate payments made by the Customer firstly to reduce the costs, secondly to reduce the interest due, and finally, to reduce the ​principal sum.
  8. PanelPact may request adequate security from the Customer, such as a bank or performance guarantee, to ensure proper fulfillment of the ​Customer's payment obligations and may suspend delivery of Products until adequate security is provided. The Customer must provide PanelPact with ​any requested adequate security at PanelPact's first request. PanelPact is entitled to terminate confirmed Order(s) if the Customer fails to provide ​adequate security.

Section 6 - Assignment and Subcontracting:


  1. At all times, PanelPact maintains the right to assign either partially or entirely its rights and obligations related to the Customer to an Affiliated Party. ​PanelPact is also authorized to enter into agreements with subcontractors for the Order's execution, provided a written notification has been given to ​the Customer beforehand.
  2. The Customer is not permitted to transfer or assign any of its obligations or rights concerning PanelPact to any third party, except for an Affiliated ​Party. The Customer must obtain prior written consent from PanelPact, which will not be unreasonably withheld.

SECTION 7 – SERVICES:


  1. PanelPact may offer services to the customer, provided it is explicitly mentioned in the order.
  2. PanelPact is obligated to provide top-notch services, maintaining professionalism and adhering to high industry standards.

Section 8 - Tailored Design, Specifications, and Consultation:


  1. PanelPact provides offers, catalogs, websites, stock lists, and other promotional materials that may contain models, samples, designs, technical ​data, measurements, colors, capacities, dimensions, advice, and images, all of which are approximate and indicative. Unless guaranteed in the ​order, this information should not be regarded as binding.

Section 9 - Delivery and Delivery Time:


  1. Unless otherwise stated in writing by the Parties, PanelPact will employ the Incoterm "EX WORKS", Incoterms 2010, to deliver the Products from ​PanelPact's production site or storage location. Once the Products have been delivered, the risk of loss or damage to the Products will transfer from ​PanelPact to the Customer.
  2. Upon notification by PanelPact that the Products are ready for delivery, the Customer must arrange for transport within three calendar days. Failure ​to do so will result in the Products being considered delivered.
  3. If PanelPact has specified a delivery date or term, it will only be indicative and not of the essence. PanelPact will endeavor to deliver the Products ​within the specified date or term from the date of acceptance of the Order. Any delay in delivery will not entitle the Customer to suspend or fail to ​comply with its contractual obligations or to claim damage.
  4. PanelPact will not be responsible for damages sustained due to late delivery if the delivery period has not exceeded sixty calendar days. If the ​delivery period surpasses sixty calendar days or more, the Customer may issue a Written notice of default to PanelPact, requesting specific ​performance of the Order within a reasonable timeframe.
  5. If the Customer refuses to receive the Products upon delivery or requests that the delivery be postponed, PanelPact will charge the Customer for the ​storage costs of the Products.
  6. Partial shipments of Products are permissible unless otherwise agreed upon. Delay in a partial delivery does not excuse the Customer from accepting ​remaining deliveries of Products.
  7. If the Customer is unable to pay the amounts due and payable based on the Order, PanelPact is entitled to suspend deliveries. The delivery date will ​be postponed accordingly, and the Customer will reimburse PanelPact for any storage costs incurred during the suspension period.

Section 15 - Export Control:


  1. The exportation of products is subject to various laws, customs, and regulations. Both parties are required to adhere to these regulations, and it is ​prohibited to export products without obtaining the appropriate governmental licenses or authorizations. Irrespective of the provisions outlined in the ​General Terms and Conditions or any orders, PanelPact is under no obligation to deliver products or fulfill its obligations until all export-related ​approvals are obtained. Both parties agree to provide each other with relevant information and timely assistance in obtaining required licenses or ​authorizations, as well as securing any essential supporting documents. If the necessary export approvals cannot be obtained within a reasonable ​timeframe, PanelPact reserves the right to cancel the order or any part thereof.

section 16 - Force Majeure: Understanding the Terms of the Order:


  1. Compliance with the Order's terms is impossible if circumstances beyond either party's control, such as fire, strike, war, civil unrest, terrorist action, ​government regulations, act of nature, or other unavoidable causes, arise. However, this provision does not absolve either Party from paying any ​outstanding amounts to the other Party.
  2. If force majeure persists, PanelPact may postpone the Order's implementation, and both Parties must work together to find a solution. If force ​majeure continues for six months straight, each Party may cancel the Order in Writing. In this case, PanelPact is not obligated to compensate the ​other party for any unfulfilled portion of the Order.

Section 17 - privacy:


  1. To ensure adherence to data protection laws, customers have a responsibility to abide by all relevant regulations. Appropriate security measures ​must be taken to keep any personal data provided by PanelPact secure and confidential. If a personal data breach occurs, the customer must notify ​PanelPact within the specified time frame, as outlined by data protection legislation. Furthermore, the customer must disclose to PanelPact the ​security measures put in place to safeguard the data, if requested. In certain situations, a data processing agreement may be required for both ​parties to enter into.

section 18 – CONFIDENTIALITY AND PUBLICITY:


  1. Both parties mutually agree to handle confidential information of the other party with the same level of care as they would their own confidential ​information, but at the very least, with the minimum care exercised in a professional organization. The confidential information is to be used solely for ​the purpose of executing the confirmed order.
  2. Each party shall ensure that their officers, directors, employees, agents, and affiliated parties comply with the terms of this Section 18. Each party ​shall be liable for any breach of this section by their officers, directors, employees, agents, or affiliated parties.
  3. If a statutory provision or judicial decision compels PanelPact to share confidential information of the customer with third parties designated by law ​or a competent court, PanelPact shall not be held liable to pay compensation or damages, and the customer shall not be entitled to request the ​cancellation of the order due to any damage resulting from such circumstances.
  4. All documentation made available or accessible to the customer by PanelPact shall remain the property of PanelPact at all times and must be ​returned upon PanelPact's first request. Without express permission from PanelPact, such documentation may not be reproduced or shared with third ​parties for inspection, except as required in the context of normal business operations.

SELECTION 19 - Applicable Law and Disputes:


  1. These General Terms and Conditions are interpreted and governed solely by the laws of the Netherlands. The application of the 1980 Vienna Sales ​Convention is explicitly waived.
  2. If any dispute arises from or relates to these General Terms and Conditions, the parties will strive to resolve the matter cordially. If an agreement ​cannot be reached, the dispute shall be exclusively submitted to the jurisdiction of the competent courts of Noord-Holland, the Netherlands.
